Contract law governs the relationship among business entities including corporations, partnerships, companies, individuals and governmental entities.
Contract law is adjusting the relationships of businesses, individuals and government entities with one another. Optimally this is done through cooperative negotiation resulting in beneficial results to all parties, especially the client. At a minimum, a client’s desires are achieved through litigation, including mediation, arbitration and litigation. We have been very successful in helping our clients adjust their relationships with others through the years resulting in smooth transactions and transitions through difficult circumstances.
We focus on commercial law, that is, the law of contracts and the relationships among businesses. We understand that a business relationship depends on the clear communication. We also understand that some business begin the serious negotiations only after the contract has been signed. Worse, some conduct negotiations through litigation. The firm helps our clients through the maze of negotiation and litigation that all too often interrupts their businesses.
Construction
Our experience in construction law began in 1985 representing the Delaware Department of Transportation in highway construction claims and the D

epartment of Administrative Services. Current clients include sewer and pipeline, roofing, concrete and masonry, plumbing and insulation contractors and owners of commercial projects and buildings. We have taught several seminars on construction law in recent years and some of our articles are available on this website.
Bankruptcy
The firm has extensive experience in Delaware’s corporate bankruptcy practice. This includes experience in asset sales, executory contract practice, administrative claims, landlord-tenant relations, reclamation relief from the automatic stay, preference actions (plaintiff and defense), and Section 365 litigation. Representative clients include, but are not limited to, landlords, small businesses, nursing homes, transportation industry, software and hardware vendors, trade purveyors, administrative claimants and parties to contract and tort matters. Recent cases in which we participated include: Fleming, ANC, Budget, TWA, Mariner, Integrated Health Services, Vectour, Silver Cinema, Montgomery Ward, Nations Rent, eToys, Super Graphics, Clark Material, Crown Simplex, W.R. Grace, Hays-Lemertz, Federal Mogal and Owens-Corning.

Litigation is the struggle to control the content, timing and flow of information. We understand this process and have the experience to apply it.
We develop a litigation plan with our clients to cover trial and/or appellate services. This plan includes assessing each potential case to determine the risks, alternative resolutions of the dispute, and development of a budget.
Litigants want to know the answers to many questions before making the decision to take a case to trial. We work with our clients to determine how strong the case is, how much money is at risk if the client loses, and what impact the suit would have on corporate assets.
